Terms and conditions of sale
1. Purpose
These terms govern the search engine optimization services (audit, keyword strategy, content, technical SEO, link building, local SEO) provided by Melcher Holding LLC, trading as Marketing Melcher, to its business clients.
2. Quotes and orders
Every engagement is covered by a written quote detailing scope, deliverables, schedule and price. The order is firm once the quote is signed or accepted by email, together with any agreed deposit.
3. Pricing and payment
Prices are stated exclusive of tax and invoiced in US dollars. One-off engagements are paid 50% on order and 50% on delivery. Monthly retainers are invoiced in advance, payable within 15 days. Late payment incurs interest at the base rate plus 10 points, along with a fixed recovery fee of $40.
4. Duration and termination
Monthly retainers have no minimum term and may be terminated by either party with 30 days' written notice. Work carried out during the notice period remains payable.
5. Client obligations
The client provides, within reasonable timeframes, the necessary access (CMS, hosting, Search Console, analytics), approves deliverables and implements or has implemented the recommendations. Missing access or approvals suspends the agreed timelines.
6. Agency obligations
Marketing Melcher is bound by a strengthened best-efforts obligation: documented methodology, monthly reporting, compliance with search engine guidelines. No technique contrary to Google's guidelines is used.
7. Warranties and limits
Search engine rankings depend on third-party algorithms outside the agency's control. No guarantee of position or traffic volume can therefore be contracted. The agency's liability is capped at the amounts actually paid over the last twelve months.
8. Ownership of deliverables
Audits, content and strategic documents become the client's property upon full payment. The agency's internal tools, templates and methods remain its exclusive property.
9. Confidentiality
Each party undertakes not to disclose confidential information obtained during the engagement, throughout its duration and for two years afterwards.
10. Personal data
Data processing is described in the privacy policy. Where the agency acts as a processor under the GDPR, a data processing addendum is attached to the quote.
11. Governing law
These terms are governed by the laws of the State of Wyoming (United States). Any claim may be sent to info@marketing-Melcher.com
